Course Description
This course is a continuation of TAX 2000 with emphasis on income tax laws applicable to partnerships and corporations. A brief survey of estate and gift taxes will be undertaken. Sample tax returns will be prepared.
General Course Outcomes
Upon completion of this course:
- The students should be able to explain why tax laws exist and describe the effects of tax planning.
- The students should be able to evaluate the corporate forms and means of conducting a trade or business and determine tax liabilities for a corporation.
- The students should be able to determine the tax consequences to the shareholder and the corporation.
- The students should be able to apply the tax rules pertaining to corporate distributions.
- The students should be able to determine the tax consequences for the shareholders and corporation when a corporation is being liquidated.
- The students should be able to explain the advantages and disadvantages of a corporate reorganization.
- The students should be able to explain how the accumulation of earnings can be employed without leading to adverse tax consequences.
- The students should be able to determine the basic elements of partnership formations, operations, and non-liquidating distributions.
- The students should be able to discuss the disposition of partnership interests.
- The students should be able to determine when it is advantageous to elect the subchapter S status.
- The students should be able to display their competency skills in preparing tax returns for gifts and estates.
- The students should be able to determine the tax rules of valuation in the estate and gift tax areas.
- The students should be able to display their competency skills in preparing tax returns for trusts and estates.

Course Attendance and Participation Policy
During the first week of class, you must successfully complete one course activity, the syllabus quiz, and receive 100% or you will be withdrawn from the course. You may take the syllabus quiz as many times as necessary to view the course content. Simply logging into the course will not satisfy your attendance during this time. As with an on-campus course, students who are reported for non-attendance in an online course and are withdrawn are still responsible for paying for the course. If you do not complete the requirements of the first week of class, you should drop the course by the official drop/add deadline or expect to pay for the course.
It is very important for you to actively participate in this online class. If you stop participating in class discussions, do not submit assignments, or fail to take quizzes or tests prior to the withdrawal date, you will be withdrawn from class and receive a W or, if it is your third attempt, an F.
If you stop participating after the withdrawal date, you will receive an F. To avoid this situation, you should remain an active learner in this class and always communicate extenuating circumstances to your instructor. Ongoing communication with the instructor is critical to your course success. Completion of tests, assignments, and other class activities are used as indicators of your participation in order to satisfy this reporting requirement.
If you stop participating after the withdrawal date, you will receive an F. To avoid this situation, you should remain an active learner in this class and always communicate extenuating circumstances to your instructor. Faculty Response
- Course emails and discussion posts will be answered within 48 hours. Emails and submissions sent on Saturday or Sunday, or holidays may not be answered until the next school day. It is recommended that you post course-related questions in the discussion area. Other students may have the same questions as you or may even be able to answer your questions. If you need info related to a test or assignment, plan ahead and submit your questions well ahead of the due date. Additionally, you can contact your instructor during their online office hours or schedule an online meeting. Your instructor is not online 24 hours per day, so please allow time for responses.

Methods of Instruction
This is a 3-credit hour fully online course with/without proctored exams. In this class, you will engage in structured out-of-class and online activities. The online activities may include, but are not limited to, readings, discussions, essays, case studies, research, and/or online quizzes and tests. See the course schedule for a detailed description of activities. Students are responsible for regularly reviewing the course schedule and completing all required assignments.
Course Schedule and Assignments
Read and refer to this section regularly. It will tell you what assignments you should complete, and how to complete them. Deadlines for assignments, assessments, discussions, quizzes, tests, and all other graded and non-graded activities are posted in the course schedule. Submitting work late will be permitted only under extenuating circumstances and only with prior notificationand documentation (original funeral notice, original doctor note, etc.).
Instructions for Discussion Forum:
- There will be six required discussions for this course. Discussions have a start and finish date and time. In order to get full credit for this assignment, you must provide a complete and thoughtful answer to the discussion question and reply to at least two other student’s post with a meaningful reply. “I agree with Jim” or Jane, that is a great answer” are examples of posts that are NOT meaningful. You can agree or disagree with another student’s post, but you must support your position with research of the tax law.
Instructions for Tests:
- This course does/does not have on-campus proctored exams. There are three examinations in this course. The examinations are taken online. There are start and end dates and times. The exams are timed. How long? Please do not miss these exams and please do not wait until the last minute. There are no makeups and there are no exceptions to the release dates and times. The exams are all multiple choice questions. (How many?)
Instructions for Assignments:
- The assignments in this course consist of nine CCH Studymate online courses. The CCH Studymate code to register comes with your textbook. At the end of each unit, you must submit a scanned copy (or .pdf file) of your CCH Studymate certificate. This is a pass fail assignment. If you pass the Studymate course, you will earn 60 points for each course.
